Terms of Use

These Terms of Use govern your use of Wortex, the online LaTeX authoring and collaboration platform operated by Wortex Software Solutions GmbH.

Last updated:

Welcome to Wortex. Please read these Terms of Use carefully before using our online LaTeX authoring and document compilation service. These terms protect both you and us, establishing clear guidelines for our collaborative workspace.

1. Scope

These Terms of Use (“Terms”) apply to all contracts between you and Wortex Software Solutions GmbH, Am Schleifweg 16, 55128 Mainz, Germany (“we” or “us”), for the use of the Wortex platform, website, and associated compilation services. They become part of the contract when you create an account or purchase a subscription and accept them in the process. Terms of business customers that deviate from these Terms do not apply unless we agree to them in writing.

You are a consumer if you conclude the contract for purposes that are predominantly outside your trade, business, or profession (§ 13 BGB). Where a provision applies only to consumers or only to businesses, it says so. The contract language is English.

2. Account Registration & Security

To use certain features of Wortex (such as creating projects, collaborating in real time, or compiling LaTeX documents), you must register for an account. Please provide accurate and complete information when you register and keep it up to date. Keep your login credentials confidential and tell us without undue delay if you suspect that someone else is using your account. You are responsible for activities under your account if you caused them or are otherwise at fault, for example because you negligently disclosed your password.

3. Intellectual Property & Content

User-generated content & ownership

You retain full ownership of all LaTeX source code, text, figures, bibliographies, and documents you create or upload on Wortex (“User Content”). We do not claim any ownership rights over your documents or research data.

Platform license & compilation

By uploading or creating content on Wortex, you grant us a limited, worldwide license to store, parse, compile (using our LaTeX distribution engines), and display your content solely as necessary to provide and maintain the service and collaboration features you request.

4. Acceptable Use

You agree not to misuse the Wortex platform. Prohibited activities include, but are not limited to: attempting to disrupt or overload our LaTeX compilation servers, reverse-engineering our software except where mandatory law permits it (§§ 69d and 69e UrhG), uploading malicious code or executable payloads within projects, violating third-party intellectual property rights, or using the service for any unlawful purposes. If you breach these rules, we may take the measures described in section 10.

5. Subscriptions & Payments

Certain premium features or higher storage and compilation limits require a paid subscription. The features and price of each plan are shown on our pricing page.

All prices are final prices in euros and include statutory value added tax (VAT). Payments are processed via Stripe or PayPal. Fees are charged in advance for each billing period (monthly or annually, depending on the plan you choose).

A monthly subscription renews automatically every month until you cancel it. An annual subscription runs for one year; after that, it continues for an indefinite period and is billed monthly at one twelfth of the annual price, rounded down to the cent. You can cancel at any time; cancellation takes effect at the end of the current billing period, which in the first year of an annual subscription is the end of that year.

You can cancel by sending us a message, for example by email to info@wortex.app.

6. Service Availability & Changes

Uptime & scheduled maintenance

We strive to maintain high availability of the Wortex platform and LaTeX engines. However, from time to time, we may perform scheduled or emergency maintenance which could result in brief, temporary service interruptions. We will endeavor to notify users in advance of major maintenance windows where possible.

Changes to the service

We continuously improve Wortex. We may change the service, including features, the user interface, and the LaTeX packages we provide, if there is a valid reason, for example to adapt it to new technical developments or legal requirements, to improve security, or to add new functionality. Changes do not cost you anything extra. If a change impairs your access to or use of the service more than insignificantly, we will inform you by email in good time before the change; if you are a consumer, you can then terminate the contract free of charge within 30 days of receiving this information or of the change, whichever is later.

Compilation & resource limits

To ensure fair access across all user tiers, we enforce specific limits on continuous compilation time, file upload sizes, project memory usage, and simultaneous build requests. Excessive resource consumption that impacts other users may result in temporary throttling or suspension of automated builds.

Backups

We create automated backups and keep a version history of your projects. We nevertheless recommend that you keep your own copies of important work, for example by downloading your projects regularly. Our liability for loss of data is governed by section 7.

7. Liability

We are liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body, or health, under the German Product Liability Act (Produkthaftungsgesetz), and where we have given a guarantee.

For damage caused by slight negligence, we are liable only if we breach an essential contractual obligation, that is, an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment you may regularly rely, such as providing the service and storing your content with due care. In that case, our liability is limited to the damage that is foreseeable and typical for this kind of contract. Otherwise, we are not liable for slight negligence.

These limitations also apply to the personal liability of our employees, representatives, and agents.

8. Term & Termination

Free accounts run for an indefinite period; you can end yours at any time by deleting your account in your account settings. Paid subscriptions run for the billing period you choose and renew as described in section 5.

We can terminate a free account with four weeks’ notice and a paid subscription with at least one month’s notice to the end of a billing period, in each case by email.

Either party may terminate the contract without notice for good cause (§ 314 BGB). Good cause for us exists in particular if you seriously or repeatedly breach section 4, after a warning unless a warning is unnecessary given the severity of the breach.

When a paid subscription ends, your account continues as a free account with the limits of the free plan. Deleting your account permanently deletes your projects, as described in our Privacy Policy, so please download anything you want to keep beforehand.

9. Right of Withdrawal

If you are a consumer, you have the following right of withdrawal:

Right of withdrawal

You have the right to withdraw from this contract within 14 days without giving any reason.

The withdrawal period will expire after 14 days from the day of the conclusion of the contract.

To exercise the right of withdrawal, you must inform us (Wortex Software Solutions GmbH, Am Schleifweg 16, 55128 Mainz, Germany, email: info@wortex.app) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or an email). You may use the model withdrawal form below, but it is not obligatory.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of withdrawal

If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

If you requested to begin the performance of services during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated to us your withdrawal from this contract, in comparison with the full coverage of the contract.

Model withdrawal form

(Complete and return this form only if you wish to withdraw from the contract.)

To Wortex Software Solutions GmbH, Am Schleifweg 16, 55128 Mainz, Germany, email: info@wortex.app:

10. Content Moderation & Reporting

We store the content you upload on Wortex on your behalf. We do not review content before it is stored and do not use automated tools to moderate it; people on our team review content when we receive a report or otherwise become aware of possibly illegal content or breaches of section 4.

If you believe that content on Wortex is illegal, please report it to info@wortex.app. So that we can handle your report, please include:

  • an explanation of why you consider the content illegal;
  • its exact location, such as the project link or share link;
  • your name and email address (not required for reports of child sexual abuse material);
  • a statement that you believe in good faith that the information in your report is accurate and complete.

We confirm receipt, handle reports in a timely, diligent, and objective manner, and tell you our decision and how you can challenge it.

If content is illegal or breaches section 4, we may remove it or disable access to it, deactivate share links, or suspend or terminate the account concerned. We choose measures that are proportionate to the breach, taking into account the legitimate interests of everyone involved.

If we restrict your content or account, we will tell you the reasons at the latest when the restriction takes effect, unless the law prohibits this. You can object to our decision by email to info@wortex.app; a person will review it and tell you the outcome. You can also bring the matter before the courts.

Our single point of contact for authorities and users under Articles 11 and 12 of the Digital Services Act is info@wortex.app. You can write to us in English or German.

11. Changes to These Terms

We may amend these Terms if there is a valid reason, such as a change in the law or case law, changes to our services, or new features. We will inform you of amendments by email at least six weeks before they are to take effect and ask for your consent. Amendments only apply if you consent. If you do not consent, the current Terms continue to apply, and we may terminate the contract as described in section 8.

12. Governing Law & Jurisdiction

These Terms and all contracts concluded under them are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer habitually resident in another country, this choice of law does not deprive you of the protection of the mandatory provisions of the law of that country.

If you are a merchant (Kaufmann), a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from contracts under these Terms is Mainz, Germany.

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
